Towergate and the archaeological old boys' club

Towergate seem to have bought themselves some breathing space – so all of those archaeology insurances are safe…..for the time-being.  I don’t even want to understand the financials, as even the press are reporting them with a degree of ‘mirth’: the senior secured debtors turning their £700m debt into a £375m debt; then the unsecured debtors jumping in with £300m against the £700m debt…..

And now…..it is thought likely that yet another major player in the insurance industry is set to swoop in and take the lot from either secured or unsecured debtors or whoever else wins round 2...or is it 3?    

Of course, this happens all the time in big businesses and having built a business on the acquisition of small entities, Towergate is certainly not naive in these matters – and is certainly used to getting its own way.  What we don’t know any more is who’s way they are going to get! Or who who is!!


Anyway that was all reported last Friday – and we haven’t heard anything since, but no doubt there were some sleepless nights among….who?  No idea!


What are the implications of all of this to UK Archaeology – and why do I keep going on about it?  Well, not a lot really.  Towergate is a massive insurance broker and archaeology is one tiny insurance ‘scheme’ within it.  If it fails, it is only one supplier of one service (insurance) to the industry – all be it, the ONLY insurance business promoted by the CIFA, the CBA, the “Badger” (BAJR to be more formal) etc  – and others (like me) will still be here to pick up as many pieces if it all falls apart. 


 
Presumably whatever it is that maintains what looks from the outside like something of an old boys' club might not be flowing quite so freely in the future (be it sponsorship, advertising revenue or just bonhomie)……so maybe one or two of us hungry yet insignificant insurance minnows might eventually get a look-in.

Bitter?  Not me!  And certainly not upset with Towergate (ironically, a business which I helped to build in my own small way) as all they are doing is trying hard to survive in order to sell insurance the best way they know how.  It is the maintenance of a 'closed shop' approach which gets to me - it is about time the CIFA and the CBA put an end to this one. A bit of fair competition would be good for all of us - archaeologists and insurance brokers alike……

 
Well, really, it’s only insurance……yawn!

Towergate takeover takes dramatic twist

The drama at Towergate continues, leaving staff and customers wondering what is going on and where the future lies.  The insurance industry's Insurance Age reports:

Reports suggest unsecured creditors in deal to take hold of the troubled consolidator.

The takeover of Towergate has taken a new twist with reports that unsecured creditors are set to grab hold of the business.

According to the Financial Times the move will involve a cash injection of £300m from the junior creditors led by Highbridge Capital Management - an arm of JP Morgan - and involving private equity firm KKR, and Sankaty Advisors, a global credit specialist.

On Monday Towergate announced that it was in the process of selling to secured creditors in a move that would halve its debt.

The plan was to swap the debt of existing senior secured creditors into £375m of new debt, £150m of payment in kind notes and 100% of the firm's shareholding.

Towergate sale enters final furlong as Cullum and Homer fall behind frontrunners

Insurance publication, Post Magazine reports that…

Peter Cullum and Andy Homer's hopes of reacquiring Towergate look set to be dashed as the broker seeks to bring an end to a lengthy sale process. Cullum and Homer, the founder and former CEO of the broker respectively, are known to have been exploring a bid for the embattled business, however, sources have told Post the duo are now considered rank outsiders as talks continue with US private equity businesses and global broking giant Marsh…

For staff and customers, the roller-coaster trundles along with all of the associated uncertainty.  Becoming part of global broker, Marsh, is probably the most positive outcome, but that will certainly entail UK redundancies as Marsh already has extensive UK operations.

Watch this space as the story unfolds – it seems to be coming to a head pretty swiftly now after months of seemingly rudderless drifting.

Towergate insurance broker – an major player in the Archaeology Insurance world - receives £1 takover bid from bondholders which will write off £715m of debt

To quote from ChrisPrice, “…Troubled insurance broker Towergate is considering a £1 takeover bid from its bondholders which will pay off £715 million of the company’s debt.

The firm, founded by entrepreneur Peter Cullum in 1997, was put up for sale last year after announcing falling profits and a debt burden close to £1 billion……”

All seems to have gone so well for so long, but maybe the good times were built on sand?  Well, certainly debt!  “….a debt burden of nearly £1 billion…”  WOW!  That is huge.  I am sure that they will find a way to ‘trade on’ – but surely price increases are the least that existing clients can expect?  Worrying times for the 4,000 or so staff I imagine.  Not sure how well I’d be able to concentrate with this lot hanging over my head.

Crikey!  A story worth keeping an eye on if you have a policy with them.
